Welcome to Courso! We're glad to have you here. Before you start using Courso, please review and accept these terms. We've aimed to make everything clear and straightforward, avoiding excessive jargon, so you understand what we expect from you and what you can expect from us. Using Courso
In this section, we explain how to subscribe to Courso and use our services. Words in bold have consistent meanings throughout these terms.
1. You and Courso: When we refer to "you" or "your," it includes both you personally and any organization or firm you are authorized to represent. "Courso," "we," "our," or "us" refers to the Courso entity you are contracting with and paying fees to, depending on your subscription plan. Section 56 identifies the specific entity you are contracting with.
2. Our Services: Our services encompass all the offerings we currently provide, as well as any future services, including our online content creation tools and learning management products.
3. Creating a Subscription: By creating a subscription and accepting these terms, you become a subscriber. If you are the subscriber, you are responsible for paying for your subscription.
4. Invited Users: An invited user is someone other than the subscriber who has been invited to use our services through a subscription. If you are an invited user, you must also accept these terms to access our services.
5. User Roles and Access: As a subscriber inviting others to join a subscription, it's important to understand the permissions you are granting to invited users. You can find information about user roles and levels of access in Courso Help here.
6. Accessing Our Services: Whether you are a subscriber or an invited user, we provide you with the right to use our services (according to your subscription type, user role, and granted access level) as long as the subscriber maintains the subscription, until the subscription is canceled, or for invited users until access is revoked.
7. Subscriber Duties: As a subscriber, you bear the responsibility for managing your subscription and determining who can access it. This entails:
Controlling access: You decide who is invited to use the services under your subscription and the level of access they have. You retain the ability to modify or revoke access as needed.
Resolving disputes: Any disagreements with invited users regarding access to your subscription are your responsibility to resolve.
Monitoring activity: You are accountable for overseeing the activity of all invited users associated with your subscription.
8. Guidelines: Regardless of your role, by using Courso, you commit to adhering to the guidelines detailed in section 36. It's important to read and comprehend these to understand what actions are permitted and prohibited.
9. Your Obligations: You commit to maintaining accurate and up-to-date information, including a valid email address. It's your responsibility to ensure that all information provided is truthful, accurate, and complete. Additionally, you must verify the accuracy of any information obtained from our services for your legal, tax, and compliance requirements.
You are also responsible for safeguarding your sign-in email. Upon each login attempt, you will receive a one-time passcode sent to the email linked to your user profile, which grants access to Courso. 10. Introducing New or Revised Services: As part of our ongoing efforts to enhance Courso, we frequently introduce new features or update existing ones. In such cases, additional terms may apply to these services. Rest assured, we will inform you of any new terms before you begin using the respective services.
11. Our Ownership: Unless specified otherwise and excluding content owned by third parties, we retain ownership of all elements within our services. This encompasses rights related to design, compilation, appearance, as well as all copyrighted materials, trademarks, designs, inventions, and other intellectual property. You agree not to copy, distribute, modify, or create derivative works of our content or use our intellectual property rights in any manner not explicitly permitted by us.
Pricing
Unless you're participating in a free trial or another promotional period, you'll be required to purchase a subscription according to the pricing outlined in your selected plan. The specifics of pricing and other subscription terms are provided when you choose your plan.
12. Trial Subscriptions: Upon initial sign-up, you have the option to select a free trial, subject to the terms outlined at the time of registration. If you decide to continue using our services after the trial period, you will be billed when you input your billing details into our services, as detailed in the pricing plan and on Courso help here. Should you choose not to continue with our services following the trial, your access will be revoked.
13. Courso Pricing Plans: Access to our services typically requires payment of a monthly subscription fee based on your chosen subscription type (the subscription fee). The pricing plan encompasses the subscription and associated fees offered to you, including invoicing, payment, auto-renewal, and cancellation terms. We reserve the right to update or modify the pricing plan periodically. These terms are an integral part of our agreement. Any changes to the pricing plan will not apply retroactively, and as a subscriber, we will make every effort to inform you of such changes (refer to section 53 for notification details). Depending on your location, subscription fees may include or exclude transactional taxes where applicable (such as VAT and GST), as indicated in the pricing plan.
14. Taxes and Fees: You are responsible for paying any external fees and taxes associated with your use of our services, wherever they are imposed. This includes withholding tax, if applicable, unless we are already handling that aspect. We may collect geographical location information to ascertain your tax jurisdiction, so it's crucial that the location details you provide are accurate for tax residency purposes.
15. Additional Services: Depending on your subscription plan and usage of our services, you may have access to additional services offered by Courso, such as .AI and hosting. Use of these services may involve extra charges for usage, which we will inform you about upon signup. Information on usage charges is covered in Courso help here.
16. Timely Payments: To maintain uninterrupted access to our services, it's essential to make payments promptly in accordance with your chosen pricing plan. Ensure that your payment information is accurate to prevent any delays or missed payments. Failure to make timely payments may result in suspension of access to your subscription until payment is received.
Data use and privacy
Courso utilizes your data to deliver our services to you. Our privacy policy forms a vital component of these terms and elaborates on how we handle personal data, such as your name and email address.
17. Data Usage: While we don't claim ownership of the data you input or upload into our services, you grant us a license to utilize, copy, transmit, store, analyze, and back up all data submitted through our services, including personal data of yourself and others. This usage aims to enable your utilization of our services, facilitate service improvement, development, and protection, create new services, communicate with you regarding your subscription, deliver information based on your marketing preferences, and disclose to third-party service providers and partners to support these objectives.
18. Handling of Your Personal Data: We prioritize your privacy and adhere to stringent data protection measures. Our privacy policy, in addition to these terms, comprehensively outlines how we manage your personal data, such as your name and email address, entered into Courso.
19. Handling Personal Data of Others: Section 18 extends to the personal data of others, such as your employees, staff, or contractors entered into Courso.
20. Anonymized Statistical Data: Through aggregation and anonymization of your data and service usage, we may generate anonymized statistical data for various purposes, including service provision and improvement, development of new offerings, identification of business trends, and other communicated uses.
21. Data Breach Notifications: In the event of unauthorized access to personal data entered into Courso, we will promptly inform you and, where feasible, provide details about the incident. Depending on the severity and location of the breach, you may be responsible for assessing whether affected parties need to be notified and if relevant authorities should be informed. We trust your judgment in this matter, as you possess the most comprehensive understanding of the personal data within your Courso subscription.
Confidential information
We employ reasonable measures to safeguard your confidential information and anticipate reciprocal care for our own.
22. Maintaining Confidentiality: Throughout your use of our services, you may disclose confidential information to us, and vice versa. Both parties agree to take appropriate steps to safeguard each other's confidential information from unauthorized access. If necessary, either party may share the other's confidential information with legal or regulatory authorities.
Security
We prioritize security, and we encourage you to do the same! To enhance the security of our services and your data, we provide additional security features like multi-factor authentication.
23. Security Measures: We have implemented technical, physical, and administrative safeguards to protect your data. Details about these measures can be found on our website's security page. While we strive to safeguard your data, please note that no method of electronic storage is entirely foolproof, and absolute security cannot be guaranteed. If we suspect unauthorized access to your account, we may notify you and restrict access to certain parts of our services until verification by an authorized user is completed.
24. Account Security Enhancements: We may introduce new security features, in addition to multi-factor authentication already offered, to bolster the security of your account. Depending on your location or the services you use, adoption of some of these features may be mandatory. If we offer optional security features, it is your responsibility (and we are not liable) for any consequences resulting from not using them. Your Role in Data Security: You play a crucial role in securing your data by safeguarding your login credentials, refraining from sharing them with others, and ensuring robust security measures on your own systems. If you suspect unauthorized use of your email or any security breach related to your account or linked email addresses, please inform us immediately. Additionally, refrain from using free-form fields in Courso's systems or services to store sensitive information unless explicitly requested, such as first name, last name, credit card details, tax identifiers, or bank account information.
Maintenance, Downtime, and Data Protection
We make every effort to minimize downtime, but occasional interruptions are necessary for service updates and security enhancements. Additionally, occasional access issues and data loss may occur, highlighting the importance of data backup by you.
26. Service Availability: Our goal is to maintain service availability and provide online support 24/7. Periodic maintenance may be required, resulting in temporary downtime. We strive to keep such interruptions to a minimum. While we aim to notify you in advance of planned maintenance, this notification is not guaranteed.
27. Access Challenges: Internet connectivity issues may occasionally hinder access to our services and your data, for various reasons and at any time.
28. Data Protection: Data loss is an inherent risk in technology usage. It is your responsibility to maintain backups of the data entered, or uploaded into our services.
29. No Compensation: Regardless of the cause of downtime, access challenges, or data loss, discontinuing the use of our services is your only recourse.
30. Support Resources: For assistance, consult our help articles available on Courso help. If further assistance is needed after consulting Courso Help, you can contact our support team via the messenger in the Courso app, or by using the contact form on this website.
31. Updates and Modifications: We regularly introduce updates, modifications, and enhancements to our services, occasionally discontinuing certain features. We will strive to notify you of such changes whenever feasible, such as through email, on our blog, or within our services upon sign in.
Dos and Don'ts
This section serves as an important guide on how to use and not use our services. Many of these guidelines are straightforward and common sense.
32. Feedback: We value your feedback and may utilize it without any restrictions.
33. Utilizing Support Resources: We offer extensive guidance and support to assist you in using our services effectively. You agree to utilize our services solely for lawful business purposes and in accordance with the provided instructions and guidance.
34. Service Limitations: Certain services may be subject to limitations, such as caps on .AI and bandwidth usage.
35. No-Charge or Beta Services: Occasionally, we may provide services at no charge, such as beta services or time-limited trial accounts. As these services carry inherent risks, you use them at your own discretion.
36. Prohibited Actions: While we cannot cover every scenario here, we want to highlight a few examples of actions that are strictly prohibited:
Compromising the security or integrity of our computing systems or networks.
Using our services in a manner that may disrupt functionality or impede the usage of others.
Unauthorized access to any system.
Uploading or introducing anything containing viruses or other malicious code.
Sharing content that may be offensive, violates laws, or infringes upon the rights of others.
Modifying, copying, adapting, reproducing, disassembling, decompiling, reverse-engineering, or extracting the source code of any part of our services.
Reselling, leasing, or providing our services in any unauthorized manner.
Repackaging, reselling, or sublicensing any leads or data accessed through our services.
Engaging in fraudulent or illegal activities through our services.
Behaving in an abusive or disrespectful manner towards Courso employees, partners, or other customers. We have a zero-tolerance policy for abuse or bullying of our employees, including interactions with our support team.
Termination
You have the option to terminate your subscription easily by cancelling. Similarly, we reserve the right to terminate your subscription with the same notice period. Immediate termination of your subscription may occur if you violate these terms.
37. Subscription Duration: Your subscription remains active for the duration covered by the paid or payable subscription fee. At the end of each billing period, these terms automatically renew for an additional period of the same duration, provided you continue paying the subscription fee as per the pricing plan. You may opt to terminate (cancel) your subscription at any time by giving one month's written notice in advance. You are still obligated to pay all applicable subscription fees and usage services up to and including the termination date. 38. Termination by Courso: Courso reserves the right to terminate your subscription at any time by giving you one month's written notice in advance. Additionally, Courso may terminate or suspend your subscription or access to any data immediately if:
You breach any of these terms and fail to remedy the breach within 14 days after receiving notice.
The breach cannot be remedied.
You fail to pay subscription fees.
You fail to pay usage charges.
You or your business encounter insolvency, liquidation, receivership, or similar events.
39. No Refunds: No refunds will be issued if you terminate your subscription or if Courso terminates it in accordance with these terms.
40. Data Retention: Upon termination of your subscription by either party, your data is archived and no longer accessible to you. We retain this data for a period consistent with our data retention policy, during which you may reactivate your subscription and regain access to your data by paying the subscription fees. While we retain data to fulfill record retention obligations, you may request complete removal of your data from our records.
Liability and Indemnity
This section is critical as it delineates the liability terms between us and both subscribers and invited users. We strongly recommend you to read it all and closely.
41. Indemnification by You: You agree to indemnify us against all losses, costs (including legal fees), expenses, demands, or liabilities incurred by us as a result of, or in connection with, a third-party claim against us arising from your use of our services or any third-party product (except where we are at fault).
42. Disclaimer of Warranties: Our services and all third-party products are provided to you on an "as is" basis. Subject to the exclusion in section 50, we disclaim all warranties, whether express or implied, including but not limited to any implied warranties of non-infringement, merchantability, and fitness for a particular purpose.
43. Limitation of Liability: Except for liability that cannot be excluded or limited by law, our liability to you in connection with our services or these terms, whether in contract, tort (including negligence), or otherwise, is limited as follows:
We shall not be liable for any loss of revenue or profit, loss of goodwill, loss of customers, loss of capital, loss of anticipated savings, legal, tax, or accounting compliance issues, damage to reputation, loss connected to any other contract, or indirect, consequential, incidental, punitive, exemplary, or special loss, damage, or expense arising from your use of our services.
In case of loss or corruption of your data, our liability will be limited to taking reasonable steps to attempt data recovery from our available backups.
Our total aggregate liability to you under any circumstances is limited to the total amount paid by you for your subscription in the 12 months immediately preceding the date on which the claim giving rise to the liability arose.
Dispute Resolution

44. Dispute Resolution: Most issues can be swiftly and satisfactorily addressed by reaching out to our support team. Simply navigate to the bottom of any article on Courso help.
If your concern remains unresolved to your satisfaction, or if informal attempts to resolve a dispute have failed, both parties agree to settle disputes through binding arbitration or small claims court, rather than through courts of general jurisdiction. It is agreed that any dispute must be pursued in the individual capacity of the parties involved and not as a plaintiff or class member in any purported class or representative proceeding.

45. No Professional Advice: Courso does not function as a professional services firm and does not provide professional advice of any kind. While we may offer information intended to aid in learning design and content creation, this should not be considered a substitute for professional advice, and we bear no liability for your use of such information in that context.
46. Events Beyond Our Control: We make every effort to manage what's within our control. However, we are not liable for any failure or delay in meeting our obligations under these terms due to events or circumstances beyond our reasonable control.
47. Notices: Any notices to Courso must be sent via the messenger embedded in the Courso product. Correspondingly, notices from us to you will be delivered to the email address provided in your subscription.
48. Exclusion: These terms do not exclude, limit, or modify any non-excludable warranties, guarantees, or other rights provided by law. We are bound only by the express promises made in these terms, with our liability for breach of a non-excludable guarantee being limited to replacing the relevant service or paying the cost thereof, at our discretion.
49. Export Limitations: You are prohibited from using our services in violation of any export or trade embargo laws applicable to you.
50. Excluded Terms: The terms of the United Nations Convention on Contracts for the Sale of Goods and the Uniform Computer Information Transactions Act (UCITA) do not apply to these terms.
51. Blocking Access, Disabling Subscription, or Refusing Payment Processing: We reserve the right to block access, terminate subscriptions, or refuse payment processing if we reasonably believe there is a risk to us. Examples could be such as potential breaches of law or regulations, associated with you, your company, your subscription, or a payment. You promise that you’re not located in a sanctioned country and are not on a sanctioned persons list. We may also block users from a country if we can’t receive payments from that country. You should check what payment methods are available in your country for making payments. We may take any of these actions without notice.
52. Relationship Between Parties; Assignment: These terms do not constitute a partnership, joint venture, employment, or agency relationship between you and us, or between you and any other subscriber or invited user. Disputes between you and other subscribers or invited users are your responsibility to resolve. Courso may assign these terms or any rights or obligations herein to another Courso entity as deemed appropriate.
53. Changes to These Terms: We reserve the right to modify these terms of use. However, changes will not apply retrospectively, and we will endeavor to provide notice of material changes at least 30 days before they take effect. You can track changes to these terms by referring to the version and last updated date at the bottom. If you find a modified term unacceptable, you may terminate your subscription with standard advance notice to Courso.
54. Enforcement of Terms: If any part of these terms is unenforceable, it will be disregarded while the remainder remains enforceable.
55. Interpretation: Words such as "include" and "including" are not limiting, and references to discretion denote sole discretion.
56. Courso Contracting Entities; Law and Venue: Our contracting entities, along with applicable law and venue in disputes between you and us, are outlined below.
